1. Acceptance of Terms
By accessing this website, submitting an inquiry, or using XStreaMVP services, you agree to these Terms of Service. If you engage us for a production, the signed proposal, statement of work, or production agreement also applies. If those documents conflict with these website terms, the signed agreement controls.
2. Services and Proposals
XStreaMVP provides video production, multi-camera production, live streaming, fly pack, recording, and post-production services. Website descriptions are general and do not constitute a binding offer. Scope, crew, equipment, schedule, deliverables, and pricing become binding only when confirmed in writing.
3. Client Responsibilities
Clients must provide accurate event information, timely approvals, safe site access, required credentials, suitable power and connectivity, and permission to record or distribute all supplied content and participants. Additional costs caused by inaccurate information, delays, unsafe conditions, venue restrictions, or scope changes may be billed separately.
4. Fees, Deposits, and Cancellations
Fees, deposits, payment schedules, reimbursable expenses, overtime, rescheduling, and cancellation charges are stated in the applicable proposal or agreement. Dates and equipment are not reserved until required approvals and deposits are received. Late payments may delay delivery and may incur lawful collection costs.
5. Live Streaming and Technical Conditions
Live productions depend on venues, internet providers, platforms, utilities, and other systems outside our control. We use professional practices and reasonable redundancy where contracted, but cannot guarantee uninterrupted transmission or third-party platform availability. Remedies for a technical failure are limited by the applicable production agreement.
6. Intellectual Property
Clients retain rights to materials they supply. XStreaMVP retains rights to its pre-existing tools, workflows, templates, system designs, and know-how. Ownership and usage rights for recordings, edits, graphics, project files, and portfolio excerpts are governed by the applicable written agreement. No website content may be copied or commercially reused without permission.
7. Website Use
You may use this website only for lawful purposes. You may not attempt unauthorized access, interfere with operation, submit malicious code, scrape content at scale, impersonate another person, or use the website in a way that infringes the rights of others.
8. Disclaimers and Limitation of Liability
The website is provided on an as-available basis without warranties of uninterrupted or error-free operation. To the fullest extent permitted by law, XStreaMVP is not liable for indirect, incidental, special, consequential, or lost-profit damages. Any direct liability arising from services is limited as stated in the applicable agreement.
9. Indemnification and Force Majeure
You agree to indemnify XStreaMVP for claims resulting from materials, instructions, permissions, or unlawful conduct you provide or authorize. Neither party is responsible for delay or failure caused by events beyond reasonable control, including severe weather, utility failure, labor disruption, government action, public emergency, or platform outage.
10. Governing Terms and Changes
These terms are governed by applicable United States law and the law specified in any signed agreement. If a provision is unenforceable, the remaining provisions continue in effect. We may update these terms by posting a revised effective date.
